Official Rules:

BRIGHT LIGHTS BIG VERSE: POEMS OF TIMES SQUARE

Five winners chosen in accordance with the provisions described below under "Judging Panel, Winner Selection" below (collectively, the "Winners") will receive an amount of $1,000 each plus a trip to New York City to read their winning poems at an event in Times Square, New York.

Sponsors: The Poetry Society of America (the "PSA") and the Times Square District Management Association, Inc. d/b/a Times Square Alliance ("TSA").

Entry Guidelines for the Bright Lights Big Verse: Poems of Times Square Contest (the "Contest"): In consideration for being permitted to enter the Contest and for other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, each entrant agrees to be bound by the following terms and conditions:

By participating in this Contest, entrants agree to be bound by these Official Rules and the decisions of the PSA and TSA, which are final in all matters relating to this Contest and acknowledge compliance with these Official Rules. Each entrant acknowledges that the Privacy Policy and Terms of Use found on the PSA and TSA websites are hereby incorporated by reference and apply to the submission of entries pursuant to these Official Rules.

Please note, at the sole discretion of the PSA and TSA, that if the Eligibility, Criteria, or Submission Requirements are not followed, the entry will be disqualified. For the avoidance of doubt, acceptance of the submissions will not be deemed to waive any of the provisions of these Official Rules.

Any submission which does not conform to these guidelines may be rejected. The PSA and TSA reserve the right to reject any submission that it deems, in its sole discretion, to violate these official Contest rules and standards.

No responsibility is assumed by the PSA or TSA for incorrect or inaccurate entry information whether caused by any of the equipment or programming associated with or utilized in this Contest or by any human error which may occur in the processing of entries to this Contest. The PSA and TSA are not responsible for any problems or delays of any mail carrier or shipping company, malfunctions of any telephone network or lines, or any combination thereof. If, for any reason, the Contest is not capable of running as planned, including tampering, unauthorized intervention, fraud, technical failures, or any other causes beyond the control of the PSA and TSA which corrupt or affect the administration, security, fairness, integrity or proper conduct of this Contest or for any reason the PSA or TSA deem it necessary, the PSA and TSA reserve the right in their sole discretion to cancel, terminate, modify, delay or suspend the Contest, or any portion thereof, due to any reason of a technical, creative or other nature. Should the PSA and TSA choose to suspend, modify or terminate the Contest or portion(s) thereof, entrants may be disqualified without any further obligation on the part of the PSA and TSA.

Entrant hereby consents and allows the PSA and TSA to display, publish, modify, transmit or distribute entrant's submission in connection with the Contest. Entrant grants to the PSA and TSA an irrevocable, non-exclusive, world-wide, fully paid-up right to reproduce, publish, display and distribute entrant's submission in any form or media whether now or hereafter known or developed. The PSA and TSA reserve the right to edit or modify submissions in connection with the display, use or other exploitation thereof. Entrant represents that his, her or its submission does not and will not in any way infringe, misappropriate, violate or otherwise conflict with any third party's rights, including but not limited to copyright, trademark, rights of publicity or privacy or any other proprietary right. Entrant agrees to indemnify, defend and hold harmless the PSA, TSA and each of their respective affiliates, officers, directors, employees and agents from any losses, damages, or expenses arising from or in connection with infringement of any such rights.

Winners must each sign (a) a prize release form releasing the PSA and TSA and their respective employees from any and all liability, claims, demands, and causes of action for personal injury and/or damage, theft, loss, or any other harm suffered in connection with this Contest or the use or acceptance of any of promotional opportunities and/or prizes received; (b) except where prohibited, a promotional release granting the right to use his or her name and likeness for advertising and publicity purposes without additional compensation; and (c) a standard materials release form for the PSA and TSA exploitation of his/her submission. Entry into this Contest constitutes Winners' agreement to sign such releases. Prior to the fulfillment of the Prize, Winner may be required to provide the PSA and TSA with identification and also sign additional release(s) and/or agreement(s) necessary to fulfill the including without limitation, agreement(s) and/or release(s) relating to the use of his/her name, voice and likeness in any media, including in connection with any ancillary use. Winners must complete all additional legal documents required by the PSA and TSA and return such documents within seventy-two (72) hours after receipt of such documents. Noncompliance may result in disqualification. Noncompliance by any entrant with any requirement in connection with this Contest will result in disqualification.

All interpretations of the rules and decisions by the PSA and TSA are final. The PSA and TSA reserve the right, in their sole discretion, to disqualify any individual it finds or believes to be tampering with the entry process or the operation of the Contest; to be acting in violation of the Official Rules; or to be acting in disruptive or illegal manner, or with intent to annoy, abuse, threaten or harass any other person. Entrants agree to not upload or otherwise transmit through the internet to the PSA or TSA any material that contains any virus or other harmful code that may change, corrupt or disrupt the Websites or any PSA or TSA software or hardware; or any material that infringes on third party intellectual property rights. CAUTION: ANY ATTEMPT BY AN ENTRANT OR ANY OTHER INDIVIDUAL TO DELIBERATELY UNDERMINE THE LEGITIMATE OPERATION OF THE CONTEST IS A VIOLATION OF CRIMINAL AND CIVIL LAWS AND SHOULD SUCH AN ATTEMPT BE MADE, THE PSA AND TSA AND SPONSORS RESERVE THE RIGHT TO SEEK DAMAGES FROM ANY SUCH ENTRANT/INDIVIDUAL TO THE FULLEST EXTENT PERMITTED BY LAW. THE NEW YORK COURTS (STATE AND FEDERAL) SHALL HAVE SOLE JURISDICTION OF ANY CONTROVERSIES REGARDING THE CONTEST AND THE LAWS OF THE STATE OF NEW YORK SHALL GOVERN THE CONTEST. ENTRANTS WAIVE ANY AND ALL OBJECTIONS TO JURISDICTION AND VENUE IN THESE COURTS AND HEREBY SUBMITS TO THE JURISDICTION OF THOSE COURTS.
